1.Acceptance of Terms
These Terms of Use (these "Terms") constitute a binding agreement between you and The African Circuit ("The African Circuit," "we," "us," or "our") governing your access to and use of theafricancircuit.com (the "Site") and the conferences, roundtables, research, membership network and related services we offer (together, the "Services"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, you must not access or use the Site.
2.Definitions
"User" means any person who accesses or uses the Site, including prospective or confirmed delegates, speakers, partners and members. "Content" means all text, graphics, programme descriptions, research, branding and other materials made available on the Site. "Third-Party Platform" means any website or service operated by a party other than The African Circuit through which registration or attendance may be facilitated, including LinkedIn Events.
3.Eligibility
The Services are directed at institutional professionals, including investors, development finance institutions, regulators, fund managers, family offices and business leaders. By using the Site, you represent that you are accessing it in a professional capacity and are at least 18 years of age.
4.Description of Services
The African Circuit is a pan-African institutional finance conference platform convening capital, policy and investment stakeholders across a calendar of city editions, together with associated research, executive education and a private membership network. Descriptions of the Services on the Site are provided for general informational purposes and do not constitute a binding offer unless expressly stated.
5.Acceptable Use
You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use of the Site by, any third party. Without limitation, you shall not: (a) attempt to gain unauthorised access to the Site or its underlying systems; (b) reproduce, duplicate, copy or resell any part of the Site in contravention of these Terms; or (c) use any automated system to extract data from the Site without our prior written consent.
6.Intellectual Property Rights
The African Circuit name, logo, and all Content published on the Site are the property of The African Circuit or its licensors, protected by applicable intellectual property laws, unless otherwise stated. No right, title or interest in the Content is transferred to you. You may not reproduce, distribute, modify or create derivative works from the Content without our prior written permission.
7.Event Registration and Attendance
Attendance at Circuit editions is invitation-only and subject to our approval in our sole discretion. Submitting a registration of interest through the Site or a Third-Party Platform does not guarantee a place. Programme content, speakers, dates, venues and pricing are subject to change without notice, and we will make reasonable efforts to communicate material changes to registered delegates.
8.Confidentiality and Chatham House Rule
Certain sessions at Circuit editions, including closed-door roundtables, are conducted under the Chatham House Rule or an equivalent confidentiality framework. By attending such a session, you agree not to disclose, attribute, or otherwise identify the identity or affiliation of any speaker or participant in connection with statements made during that session, except with the express prior consent of that individual.
9.No Investment, Financial or Legal Advice
Content on the Site, and discussions at Circuit editions, are provided for general informational and convening purposes only. Nothing on the Site or presented at a Circuit edition constitutes investment, financial, tax or legal advice, or a recommendation, offer or solicitation to buy or sell any security, instrument or investment. You should seek independent professional advice before making any investment or business decision.
10.Third-Party Websites and Services
The Site links to Third-Party Platforms, including LinkedIn Events for registration and various social media channels. We do not control and are not responsible for the content, accuracy, security or practices of any Third-Party Platform. Your use of any Third-Party Platform is governed solely by that platform's own terms and policies.
11.Disclaimer of Warranties
The Site, the Content and the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Site will be uninterrupted, secure, or error-free. While we make reasonable efforts to keep programme, speaker and scheduling information accurate and current, we do not warrant the completeness or accuracy of any Content at all times.
12.Limitation of Liability
To the fullest extent permitted by applicable law, in no event shall The African Circuit, its officers, employees, or affiliated entities be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising out of or in connection with your access to or use of, or inability to access or use, the Site, the Services, or attendance at any Circuit edition, even if advised of the possibility of such damages.
13.Indemnification
You agree to indemnify and hold harmless The African Circuit and its officers, employees and affiliated entities from and against any claims, liabilities, damages, losses and expenses, including reasonable legal fees, arising out of or in any way connected with your breach of these Terms or your misuse of the Site or the Services.
14.Governing Law and Dispute Resolution
These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of Mauritius, without regard to conflict-of-law principles, save where mandatory local law applicable to you requires otherwise. The parties shall first attempt in good faith to resolve any dispute through direct negotiation before pursuing formal proceedings.
15.Severability
If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
16.Entire Agreement
These Terms, together with our Privacy Policy and any other terms referenced herein, constitute the entire agreement between you and The African Circuit regarding your use of the Site and supersede any prior agreements or understandings, whether written or oral.
17.Assignment
You may not assign or transfer any of your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition or restructuring.
18.No Waiver
No failure or delay by The African Circuit in exercising any right under these Terms shall operate as a waiver of that right, nor shall any single or partial exercise preclude any other or further exercise of that right.
19.Force Majeure
The African Circuit shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to acts of God, natural disaster, war, civil unrest, government action, or failure of third-party infrastructure or platforms.
20.Changes to These Terms
We may revise these Terms from time to time to reflect changes in our practices or for other operational, legal or regulatory reasons. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Site following the posting of revised Terms constitutes your acceptance of those changes.
