01About these terms

The African Circuit (“the Circuit”, “we”, “us”) is operated by The Philanthropic Foundation, registered in Mauritius under the Foundations Act 2012 (Registration No. 679).

These terms apply to your use of theafricancircuit.com (the “Site”) and to your registration for and attendance at any edition of the Circuit. By using the Site or registering, you accept them.

Our Privacy Policy explains how we handle personal data and forms part of these terms. Any specific terms in your confirmation or invoice also apply. If they conflict with these terms, the specific terms apply.

02Who can use the Circuit

The Circuit is for professionals, including investors, development finance institutions, regulators, fund managers, family offices, advisers and project owners. By registering, you confirm that:

• you are at least 18;
• you are acting in a professional capacity;
• if you register on behalf of an organisation or colleagues, you are authorised to do so.

03Registration

• Sending the registration form is a request for a place. It is not yet a booking.
• A booking is made when we confirm it by email. It is secured when the invoice is paid.
• We may decline or cancel a registration at our discretion. Examples include when an edition is full or the participant profile does not fit the edition. If we cancel after you have paid, we refund what you paid.
• Each access pass is personal to the named delegate and gives access only to the sessions included in that access category.
• Closed-door sessions are curated by invitation and are not part of any access category.
• You must give accurate information. We may refuse entry if the person attending is not the confirmed delegate.

04Prices & payment

• Prices are in US dollars and follow a release schedule, rising as each release opens. The price shown on the Site when you submit your registration is the price that applies to you, as long as the invoice is paid by its due date.
• Prices shown on the Site exclude taxes and fees. Any applicable taxes and fees are confirmed on your invoice before you pay.
• Payment is made against our invoice, using the methods and within the time stated on it. We do not take card payments on the Site.
• If an invoice is not paid on time, we may release the place. Any new booking is then at the prices in force at that time.
• Prices do not include travel, accommodation, visas or insurance. These are your responsibility.
• If a price on the Site is clearly wrong, we will tell you before invoicing and you may withdraw your registration.

05Substitutions & cancellations

Substitutions

If you cannot attend, a colleague from the same organisation may take your place at no extra cost. Let us know in writing with their details before the edition.

Cancellations by you

Cancellations must be sent to us in writing. Any refund depends on the cancellation terms stated in your confirmation or invoice.

Cancellation by us

If we cancel an edition, we will offer you either a full refund of the fees you paid or a transfer to another date or edition. If we postpone an edition, you may choose to keep your place or receive a full refund. We are not responsible for travel or accommodation costs you have incurred, so we recommend flexible bookings and travel insurance.

06Programme changes

We may need to change the programme, speakers, timings, format or, in exceptional cases, the venue. We will tell registered delegates about significant changes as early as possible.

Changes to individual speakers or sessions do not entitle you to a refund. If we change the dates or city of an edition, the postponement and cancellation terms in section 05 apply.

07Conduct at our events

We expect everyone at the Circuit to behave professionally and respectfully. You must not:

• harass, discriminate against or intimidate anyone;
• disrupt sessions;
• record closed-door sessions;
• use delegate contacts for unsolicited bulk marketing;
• break the venue's rules or local law.

We may remove anyone who breaches these rules, without a refund, and may decline their future registrations.

08Confidentiality

Closed-door sessions and roundtables are held under the Chatham House Rule unless we say otherwise. You may use the information you receive, but you must not reveal the identity or affiliation of any speaker or participant in connection with what they said, unless that person has expressly agreed.

09Photography & recording

We photograph and film main-stage sessions and public areas, and may use the material to promote the Circuit. If you would prefer not to appear, see our Privacy Policy for how to tell us.

Speakers agree separately how their sessions and materials may be recorded and shared.

You may take photographs for personal or professional use in public areas. You may not record sessions or distribute them commercially without our written permission.

10No advice

Content on the Site, programme material and discussions at the Circuit are for general information and convening purposes only. Nothing said or published is investment, financial, tax or legal advice, or an offer or solicitation to buy or sell any security or investment.

The views of speakers are their own and not necessarily ours. Take independent professional advice before making any decision.

11Using the site

Use the Site lawfully and in good faith. You must not:

• try to gain unauthorised access to the Site, our forms or the systems behind them;
• submit false, automated or spam registrations;
• scrape or bulk-extract content or speaker information without our written consent;
• use the Site in a way that could damage it or interfere with other people's use of it.

We try to keep the Site accurate and available but cannot guarantee it will always be complete, current or uninterrupted.

12Intellectual property

The African Circuit name and logo, the Site's design and artwork, programme content and our publications belong to us or our licensors.

Speaker names, photographs and biographies are used with permission. Partner logos belong to their owners.

You may share links and short quotations with attribution. Anything more requires our written permission.

13Third-party services

We rely on third parties for parts of the service, including the form processor that receives registrations, hosting and the venue. The Site also links to other websites such as LinkedIn and map services.

We are not responsible for third-party websites, and your use of them is governed by their own terms. The venue's own policies apply while you are on its premises.

14Liability

• Nothing in these terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, or for fraud.
• Subject to that, we are not liable for any indirect or consequential loss, or for loss of profit, revenue, business or opportunity. This covers anything arising from the Site, your registration or your attendance.
• Subject to that, our total liability to you for any registration is limited to the fees you paid us for it.
• You are responsible for your own belongings at the event, and for any loss or damage you cause to the venue or others.

15Events beyond our control

We are not liable for failing to deliver an edition, or for delays, caused by events beyond our reasonable control. Examples include natural disasters, epidemics, war, civil unrest, government action, travel disruption, and failure of the venue or critical suppliers.

In those cases, the postponement and cancellation terms in section 05 apply as far as reasonably possible.

16Governing law & disputes

These terms are governed by the laws of the Republic of Mauritius. This does not affect any mandatory consumer or other protection that the law of your country gives you.

We will first try to resolve any dispute through good-faith discussion. If that fails within 30 days, the dispute goes to the courts of Mauritius.

17General

• If any part of these terms is found invalid, the rest stays in force.
• If we don't enforce a right straight away, we can still enforce it later.
• You may not transfer your rights under these terms, other than by a substitution under section 05. We may transfer ours to a successor organisation that continues the Circuit.
• We may update these terms. The version in force when you register applies to that registration. Changes apply to your use of the Site from the date they are published.
